  • Improvement of management transparency (Operation of individual entities)

GO Element operates the Ethical Practice Secretariat and the Board of Directors to improve its management transparency.

The Ethical Practice Secretariat takes charge of ensuring transparent and ethical management by continuously monitoring—both internally and externally—the compliance of the company’s code of ethics among the employees, including the CEO.

The Board of Directors appoints inside and outside directors through a transparent and fair process, in which the appointment is resolved at the annual general meeting.

  • Independence of the Board of Directors

GO Element operates the Board of Directors under the laws, regulations, and internal rules. As the crucial decision-maker of the company, the Board of Directors keeps the CEO in check by maintaining a board attendance rate of at least 90%.

Furthermore, the independence of the Board of Directors was further reinforced by securing at least 50% of outside directors.

  • Expertise of the Board of Directors

GO Element’s Board of Directors is composed of experts with rich experience and expertise in each field. Each director participates in major decision-making based on their expertise and works to improve the company value and secure credibility from the market and stakeholders.

  • Continuous internal controls

GO Element adopted the internal financial controls system to improve governance transparency through continuous internal controls. Accordingly, we formulated rules for both the Board of Directors and internal financial controls.

Furthermore, we continue to disclose any instances of insider trading among employees, including the Board of Directors. We strive to prevent unfair transactions by monitoring amendments to laws and regulations.
